End-User License Agreement

1. Acceptance of Terms
By accessing or using the 4U2C Signs platform (“Service”), operated by 4U2C Signs and Energy Solutions (“Company”, “we”, “us”), based in Johannesburg, South Africa, you (“User”, “you”) agree to be bound by this End-User License Agreement (“Agreement”). If you do not agree to these terms, you must not access or use the Service.
2. Description of Service
The Service is a cloud-based signage and large-format print business management platform. It provides tools for tracking sales opportunities and designs, managing production projects and deliverables, generating invoices, and managing customer relationships. The Service integrates with third-party services, including Intuit QuickBooks Online, for accounting synchronisation.
3. License Grant
Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business operations. This licence does not include any right to sublicense, resell, or redistribute the Service or any part thereof.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify the Company immediately of any unauthorised use of your account or any other breach of security. The Company shall not be liable for any loss arising from your failure to safeguard your account credentials.
5. QuickBooks Integration
The Service offers optional integration with Intuit QuickBooks Online via OAuth2 authorisation. By authorising this connection, you consent to the Service reading from and writing data to your QuickBooks Online account on your behalf. This data includes, but is not limited to:
- Customer records
- Estimates and quotations
- Invoices
- Payments
- Items and services
You may revoke this access at any time from your QuickBooks Online account settings or from within the Service. Revoking access will stop future data synchronisation but will not delete data already transferred.
6. Data Ownership
You retain full ownership of all data you input into the Service, including customer records, quotations, installation job details, photographs, technician notes, and financial data. The Company does not claim ownership of your data and will not use it for purposes beyond providing and improving the Service.
7. Restrictions
You agree that you will not:
- Sublicense, sell, lease, or redistribute the Service to any third party.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorised access to any part of the Service or its related systems.
- Transmit any malicious code, viruses, or harmful data through the Service.
- Exceed any usage limits specified in your subscription plan.
8. Service Availability
The Company strives to maintain high availability of the Service but does not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control. Where possible, scheduled maintenance windows will be communicated in advance.
9. Fees and Payment
Service fees, if applicable, are as agreed between you and the Company in a separate service agreement or subscription plan. All amounts are denominated in South African Rand (ZAR) and are subject to Value Added Tax (VAT) at the prevailing rate (currently 15%) where applicable. Failure to make timely payments may result in suspension or termination of your access to the Service.
10. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is the intellectual property of 4U2C Signs and Energy Solutions. Nothing in this Agreement grants you any right, title, or interest in the Service beyond the limited licence described in Section 3.
11. Limitation of Liability
To the maximum extent permitted by the laws of the Republic of South Africa, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of profits, data, business opportunities, or goodwill, even if the Company has been advised of the possibility of such damages.
The Company’s total aggregate liability to you for any claims arising under this Agreement shall not exceed the total fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of this Agreement, or your violation of any applicable law or the rights of any third party.
13. Termination
Either party may terminate this Agreement at any time with thirty (30) days’ written notice to the other party. The Company may also terminate or suspend your access immediately if you breach any term of this Agreement. Upon termination, your right to use the Service will cease, and you may request an export of your data within thirty (30) days of termination, after which the Company may delete your data.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Gauteng, Johannesburg.
15. Changes to this Agreement
The Company reserves the right to modify this Agreement at any time. Material changes will be communicated to you via email or an in-app notification at least fourteen (14) days before taking effect. Your continued use of the Service after such changes constitutes acceptance of the revised Agreement.
